Terms of Service

1. About the services

Kode Studio delivers web development, design and digital solutions for businesses. These terms apply to all engagements between Kode Studio and the client, unless otherwise agreed in writing. In the event of conflict between an individual agreement and these terms, the individual agreement prevails.

2. Quotes and conclusion of agreement

A quote from Kode Studio is valid for 30 days from the date of issue. An agreement is considered concluded when the client accepts the quote in writing (email is accepted). Work starts after a deposit is received where this is agreed in the quote.

3. Payment

Invoices are sent according to the payment plan set out in the quote. The standard payment term is 14 days from the invoice date. In the event of late payment, reminder fees apply in accordance with the Norwegian Debt Collection Act and late-payment interest under the Norwegian Late Payment Interest Act.

Subscription agreements are billed monthly on the agreed date. The agreement can be cancelled with one month’s written notice, effective from the next billing period.

4. Delivery and deadlines

Stated delivery deadlines are estimates based on the project’s scope at the time of agreement. Kode Studio will notify the client without undue delay if deadlines cannot be met.

Delays caused by missing feedback, content or approvals from the client, changes in the project’s scope, or circumstances outside Kode Studio’s control, release Kode Studio from liability for missed deadlines.

5. Intellectual property

After full payment, the rights to the delivered material (design, code, text) are transferred to the client. Kode Studio retains the right to display the project in its portfolio and use it in marketing, unless otherwise agreed in writing.

Third-party libraries, frameworks and other open-source code included in the delivery are subject to their respective licences.

6. Limitation of liability

Kode Studio’s liability for damages is in all circumstances limited to the amount the client has paid for the relevant engagement over the past 12 months. Kode Studio is not liable for indirect losses, operating losses, lost profits or loss of data.

7. Right of withdrawal

For consumer clients, a 14-day right of withdrawal applies from the date of agreement, cf. the Norwegian Right of Withdrawal Act §20. The right of withdrawal lapses if work has begun with the client’s explicit consent within the withdrawal period.

For business clients (B2B), the Right of Withdrawal Act does not apply.

8. Governing law and venue

These terms are governed by Norwegian law. Disputes shall be sought resolved amicably. If this is not successful, Oslo District Court is the legal venue.
